Distance Sales Agreement

1. Introduction

This Distance Sales Agreement ("Agreement") is a legal contract between Selwise ("Seller") and you ("Buyer") governing the sale of products and services through our platform. By purchasing from Selwise, you agree to be bound by this Agreement.

2. Parties to the Agreement

Seller: Selwise E-commerce Personalization Platform

Buyer: The individual or entity purchasing products or services from Selwise

3. Subject of the Agreement

This Agreement governs the sale of software subscriptions, services, and digital products offered by Selwise through our website and platform.

4. Price and Payment

• Prices for all products and services are displayed in Turkish Lira (TRY) or as otherwise specified
• Payment shall be made via secure payment methods including credit cards, bank transfers, or Iyzico payment integration
• All prices include applicable taxes unless otherwise stated
• Subscription fees are billed in advance on a monthly or annual basis as selected by the Buyer
• Seller reserves the right to modify prices with 30 days notice for existing subscribers

5. Delivery

• For digital products and services, delivery is made immediately upon successful payment confirmation
• Access credentials and service activation details are sent to the Buyer's registered email address
• Seller is not responsible for delivery delays caused by factors beyond our control
• For subscription services, access is provided for the duration specified in the selected plan

6. Right of Withdrawal

In accordance with Turkish Law No. 6502 on Consumer Protection and Distance Contracts, the Buyer has the right to withdraw from this Agreement within 14 (fourteen) days without providing any reason.

How to Exercise Your Right:

• Submit a written notice to Selwise via email at info@selwise.com or through your account dashboard
• Include your order number, subscription details, and statement of withdrawal
• The withdrawal period expires 14 days after the date of contract conclusion
• For subscription services with immediate access, the 14-day period starts from the date of purchase

Refund Process:

• Refunds will be processed within 10 (ten) business days of receiving your withdrawal notice
• Refunds will be made to the original payment method used for the purchase
• If you have used the service during the withdrawal period, you may be charged for the portion used

Exceptions to Right of Withdrawal:

• Services that have been fully performed with the Buyer's explicit consent and acknowledgment that right of withdrawal ends upon complete performance
• Digital content that is not supplied on a tangible medium once the performance has begun with the Buyer's prior consent
• Sealed goods which were unsealed after delivery

8. Warranties and Liability

Selwise warrants that services will be provided in accordance with industry standards. Our liability is limited to the amount paid for the specific service in question.

Limitation of Liability:

• Seller is not liable for indirect, special, or consequential damages
• Seller is not responsible for service interruptions caused by third parties or force majeure events
• Maximum liability shall not exceed the total amount paid by the Buyer in the 12 months preceding the claim

9. Intellectual Property

All intellectual property rights in the software, platform, and content remain with Selwise. The Buyer receives a non-exclusive, non-transferable license to use the service according to the selected plan.

10. Personal Data Protection

Personal data is processed in accordance with the Law on Protection of Personal Data No. 6698. For details, please refer to our Privacy Policy at /legal/privacy

11. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Republic of Turkey. Any disputes shall be resolved by the Consumer Arbitration Committee and Consumer Courts in Istanbul, Turkey.

12. Amendments to the Agreement

Seller reserves the right to amend this Agreement with 30 days prior notice. Amendments will be effective upon publication on our website. Continued use of the service after amendments constitutes acceptance.

By completing the purchase process, the Buyer acknowledges that they have read, understood, and agreed to all terms of this Distance Sales Agreement.
